to them in the <\/span><span class=\"c27\"><a href=\"http:\/\/www.niio.com\/terms\">Terms and Conditions<\/a><\/span><span class=\"c2\">\u00a0between you and Niio.<\/span><\/p>\n<p class=\"c8\"><span class=\"c17 c22\">Art Supplier<\/span><\/p>\n\n<ol class=\"c9 lst-kix_list_3-0 start\" start=\"1\">\n \t<li class=\"c8 c3\"><span class=\"c2\">When you use the Platform and the Services as a Registered User with the intention to share, distribute or monetize your Digital Art (through Selling, Transferring, Lending or Consigning &#8211; whether for consideration or not, creating or showcasing in a Curated Channel such as ArtCast or Catalog), you do so as an art creator or proprietor, including if you have acquired such proprietary rights by entering into a contract with any of the former (a \u201c<\/span><span class=\"c17\">Supplier<\/span><span class=\"c2\">\u201d). <\/span><\/li>\n<\/ol>\n<p class=\"c8\"><span class=\"c17 c23\">Art Supplier Consideration<\/span><\/p>\n\n<ol class=\"c9 lst-kix_list_3-0\" start=\"2\">\n \t<li class=\"c0 c3\"><span class=\"c2\">Supplier<\/span><span class=\"c2\">\u00a0is entitled to Supplier\u2019s Fee of the Transaction derived out of the Net Revenue (as define below) (the \u201c<\/span><span class=\"c17\">Supplier\u2019s Fee<\/span><span class=\"c2 c6\">\u201d).<\/span><\/li>\n<\/ol>\n<ol class=\"c9 lst-kix_list_3-0\" start=\"3\">\n \t<li class=\"c0 c3\"><span class=\"c2\">For the purpose herein \u201c<\/span><span class=\"c17\">Net Revenues<\/span><span class=\"c2 c6\">\u201d means the total amount of revenues that Niio actually receives for any type of transaction through the Niio Platform (such as sale, loan, \u00a0lease, individual syndication, collective syndication, subscription of the Artworks), less any transaction costs, including, taxes, discounts, returns, and other third-party charges or sales commissions paid by Niio.<\/span><\/li>\n<\/ol>\n<ol class=\"c9 the Supplier\u2019s Fee for each of the Subscription Plans from time to time at its sole discretion. Niio shall provide you with a prior notice before such modifications come into effect. Note that any such change will not affect the Supplier\u2019s Fee with respect to Transactions which came into effect prior to such change.<\/span><\/li>\n<\/ol>\n<p class=\"c8\"><span class=\"c22 c17\">Payment<\/span><\/p>\n\n<ol class=\"c9 lst-kix_list_3-0\" start=\"6\">\n \t<li class=\"c8 c3\"><span class=\"c2\">We define Payment Periods (\u201c<\/span><span class=\"c17\">Payment Period<\/span><span class=\"c2\">\u201d) <\/span><span class=\"c2\">in the course of which <\/span><span class=\"c2\">we calculate, report and approve<\/span><span class=\"c2\">\u00a0the Transactions entitling the Suppliers to <\/span><span class=\"c2\">payments <\/span><span class=\"c2\">of Supplier&#8217;s Fees<\/span><span class=\"c2\">. <\/span><span class=\"c2\">To date the Supplier\u2019s Fees due to a Supplier are calculated and paid to the Suppliers <\/span><span class=\"c2 c6\">on an Annual basis.<\/span><\/li>\n<\/ol>\n<ol class=\"c9 lst-kix_list_3-0\" start=\"7\">\n \t<li class=\"c8 c3\"><span class=\"c2 c6\">Within thirty days of the end of each Payment Period the following shall occur: <\/span><\/li>\n<\/ol>\n<ol class=\"c9 lst-kix_list_1-1 start\" start=\"1\">\n \t<li class=\"c14\"><span class=\"c2\">Niio shall provide the Supplier with a written statement of the Transactions performed on the Platform with respect to any of the Digital Artworks (the \u201c<\/span><span class=\"c17\">Periodical Payment Statement<\/span><span class=\"c2\">\u201d).
